General Terms and Conditions of Sales 2026 (Export)

It is hereby specified that these conditions apply to all sales concluded by BAGSTER FRANCE SAS (hereinafter refererred to as Bagster) with professional buyers and concern all products sold by BAGSTER from January 1st, 2026.

ARTICLE 1 – PRICELIST

The acquisition of the products is carried out against payment, by the purchaser, of the price in euros (excluding participation in the processing and shipping costs indicated ARTICLE 7 below)

BAGSTER reserves the right to modify its prices at any time, but the products will be invoiced on the basis of the prices in force at the time the order is registered.

ARTICLE 2 – DELIVERY

Delivery will be made to the address indicated by the buyer on the order form.
The integrity of the packages and packaging must be checked by the customer upon receipt of the products in the presence of the delivery person. In the event of a shock that alters the goods, a mismatch of products or a defective or missing package, the customer must refuse to accept the goods by clearly stating the reason for their refusal on the acknowledgement of receipt (waybill). The customer must send a copy of the waybill and the delivery note to sav@bagster.com within 24 hours so that we can take action against the carrier.
The customer must formulate his complaint by registered letter with acknowledgement of receipt within 3 working days of delivery of the said goods by the carrier, under penalty of forfeiture (no refund or credit note, equipment warranty refused), on pain of rejection of any dispute beyond this legal deadline. After the expiry of this 3-day period, any complaint of whatever nature shall be deemed inadmissible.
The customer must allow BAGSTER every facility to proceed with the observation of these defects or anomalies and shall refrain from intervening or having a third party intervene for this purpose.
In the event of any defect or malfunction recognized after a contradictory examination, BAGSTER shall replace, free of charge, the articles recognized as defective.
When delivery is made by making a product available, BAGSTER undertakes to inform the customer in writing of the date of availability. In this case, the customer undertakes to take delivery of the equipment within 15 days following receipt of the notice of availability. After this period, a fixed storage fee (250€ / month) will be invoiced to the customer without prejudice to any action that BAGSTER may take.
Goods dispatched following a firm and definitive order may not be taken back or exchanged without our prior written agreement (as stated in the ARTICLE 9).

ARTICLE 3 – EXCEPTIONAL CIRCUMSTANCES

BAGSTER shall not be held liable in the event of force majeure or events such as: lock-out, strike, epidemic, war, requisition, fire, flood, tooling accident, delay in transport or any other cause leading to partial or total unemployment for BAGSTER or its suppliers.
BAGSTER will inform the customer in due course of the cases and events listed above.
In any event, delivery on time can only occur if the customer has fulfilled all of its obligations towards BAGSTER; in particular the payment of invoices due or overdue.
The deadlines indicated on our commercial or service offers are only given as an indication. Consequently, the non-observance of the said deadlines, as well as the non-execution of orders, resulting from exceptional circumstances: fire, floods, strikes, wars, breakdown of manufacturing machinery, etc. and generally speaking any unforeseeable disaster affecting our operations, shall not give rise to compensation.
The right to cancel orders remains with us in the event of a shutdown for one of the reasons listed above. However, the quantities ready at the time of cancellation will be handed over to the customer who is obliged to take delivery of them and, consequently, to pay for them.

ARTICLE 4 – MANUFACTURING

Slight differences in color and workmanship, which are sometimes unavoidable in our production, do not constitute grounds for rejection of the goods or a claim to a price reduction.

In the event of force majeure or other circumstances that prevent or make it difficult to execute confirmed orders, we reserve the right to withdraw from the contract, reduce the volume or postpone the execution of confirmed orders already in production, excluding any claims for damages. The agreed deadline shall be extended by the duration of the delay.

ARTICLE 5 – QUOTATIONS & PRICES

Any quotation will only be valid for a period of 15 days, unless otherwise indicated on the quotation, from the date of its issue, regardless of the medium (e-mail and/or fax). Our prices are net and without discount.
The price fixed in the quotation may be subject to change up to the date of delivery if one or more of the factors taken into consideration to fix the price undergoes a change, even if this change was foreseeable at the time of the quotation.

ARTICLE 6 – PICK UP & SHIPPING COSTS

Carrier will be selected by BAGSTER
Cut Off time at 12h00 (lunch time) to allow shipment same day
FREE FREIGHT policy per country as shown in Appendix 1

SEATS SPECIAL ORDER :
1) You ship your seats to BAGSTER on your own.

OR

2) Where the Pick up of the seat is available by Bagster (according to the chart above we will send you the shipping labels for your seats. The dimensions and weight of the packages must be communicated to us by e-mail. An extra charge might be paid for areas that are difficult to access (see Appendix 1). You will be charged a supplement of €17 excluding VAT/package or €0.35 excluding VAT/kg (whichever is greater).
The packaging configurations below are required and failure to comply with them will result in an additional charge which will be re-invoiced to you:

Packaging for a motorbike seat
– Maximum length = 100 cm
– 2nd longest side, maximum = 75 cm
– Maximum weight including packaging: 7.5 kg.

Packaging for a scooter seat
– Maximum package size: 118 x 53 x 36 cm
– Maximum weight including packaging: 13.5 kg.

In any case, parcels must have the following combined dimensions:
Length + (2 x width) + (2 x height) = less than 297 cm

If 297cm is exceeded, an extra fee of €95 / parcel (excluding VAT) will be applied.

ARTICLE 7 – PAYMENT

For the first order, payment must be made in advance on presentation of a PROFORMA invoice.
Payment terms are 30 days net from date of invoice.In application of the French law n°2008-776 of 4 August 2008, payment terms may not under any circumstances exceed 60 days net or 45 days end of month.
In the event of late payment (payment occurring after the date mentioned on the invoice), late payment penalties at the rate of three times the legal interest rate will be applied by BAGSTER to the amount of the invoice in question, excluding VAT.

ARTICLE 8 – PRODUCT RETURN POLICIES

For any product return, an approval must be requested in advance to commandes@bagster.com.
The product must be returned, at your expense, within 15 days of delivery, to our Headquarter in La Ferté Macé Macé unless differently communicated from our side.
When BAGSTER has accepted the return of products, these must be returned in their original condition, in their original packaging without having been used, with reference labels, proof of delivery and our written approval in the package.
A credit note will only be established after control and approval by BAGSTER of the product and a 15% of the price or at least 15€ restocking fee will be applied.
No returns will be accepted for any special order made products such as : tank cover, seats, customized items etc.

ARTICLE 9 – RETURNS AFTER SALES SERVICE

1. ITEMS UNDER WARRANTY
Our products are covered by the legal guarantee of conformity.
This guarantee excludes damage caused by abnormal use or lack of maintenance. The guarantee may under no circumstances give the right to a refund or to damages.
The end-customer must return the product to the BAGSTER dealer where the products have been purchased with the receipt and/or the invoice from the shop.
The dealer will contact our after-sales department to process the request and receive a return number.

3. SCOPE OF THE WARRANTY
BAGSTER reserves the right to refuse the guarantee for items resulting from an abnormal usage or having been modified by the customer.
We draw your attention to the fact that no parcel should reach us without a return number.

ARTICLE 10 – RESERVATION OF OWNERSHIP

BAGSTER retains ownership of the products until the effective payment of the full price in principal and accessories. On the other hand, the transfer of the risks of loss and deterioration of the products from BAGSTER will be carried out upon delivery and receipt of said products by the purchaser.
Consequently, the products must be duly insured by the purchaser against theft, loss and fire.

ARTICLE 11 – INTELLECTUAL PROPERTY RIGHTS

BAGSTER is legally authorized to use the trademarks of its products. Any use of these trademarks by the purchaser must first be authorized by BAGSTER, which will validate the conformity of the graphic reproductions of the trademarks with the registered models.

ARTICLE 12 – INTERNET SALES

The dealer must ensure the availability of the products offered for sale on his site. In this respect, he undertakes to hold a sufficient stock of products. Under no circumstances may the reseller sell the products through a website of which he is not the publisher.

ARTICLE 13 - APPLICABLE LAW - PLACE OF JURISDICTION

These general conditions of sale are, as well as the attached rates, expressly approved and accepted by the purchaser by placing an order to Bagster.
The purchaser declares and acknowledges having a perfect knowledge of them and renounces this fact, to avail himself of any contradictory document and, its own general conditions of purchase.
All disputes arising from the purchase or sale of products covered by these general conditions of sale shall be submitted to the Commercial Court of Alençon in France.
